SAFRAN ACQUIRES L-1 IDENTITY SOLUTIONS

This successful combination of best-in-class biometric and secure credential technologies strengthens Safran’s position as a leading provider of enhanced identity management solutions within the fast-growing high-tech defense and homeland security market.
Safran previously announced a definitive agreement to acquire L-1’s Identity Solutions’ Biometrics and ID Management Solutions Businesses on September 20, 2010. Following a comprehensive review, this transaction also received approval by the Committee on Foreign Investment in the United States (CFIUS) which identified no unresolved national security concerns.
Led by former U.S. Homeland Security Secretary Michael Chertoff, The Chertoff Group provides merger and acquisition advisory services for clients in the security, defense and government services industries. During this recent transaction, The Chertoff Group provided expertise on emerging biometric technologies; subject matter analysis and due diligence on national security applications; and strategic advice on the CFIUS review process.

WASHINGTON, D.C. – The Chertoff Group is pleased to announce that Jason Kaufman has joined the firm as a Managing Director. The move reflects the firm’s continued growth in providing strategic and financial advisory services to clients engaged in the national security, intelligence, defense and civilian government contracting markets.
Mr. Kaufman brings 12 years of investment banking experience providing merger and acquisition advice to government contractors. During his career, he has advised on over 50 engagements and closed $2.5 billion in deal value.
Mr. Kaufman has worked with many of the industry’s leading firms, including BAE Systems, The Boeing Company, Honeywell International, ICF Consulting, Lockheed Martin, ManTech International, and Raytheon Company. Most recently, he advised Veritas Capital on the sale of McNeil Technologies to AECOM Technology Company, as well as Computer Sciences Corporation on the divestiture of AdvanceMed Corporation to NCI Information Systems Inc.
Prior to The Chertoff Group, Mr. Kaufman spent eight years with BB&T Capital Markets | Windsor Group as a member of the firm’s senior leadership team. He was also an early member of Quarterdeck Investment Partners, a boutique investment bank acquired by Jefferies. Mr. Kaufman earned a BS from Georgetown University’s School of Foreign Service and a MBA from the Darden School of Business at the University of Virginia.

Safran Group Enters Definitive Agreement to Acquire L-1 Identity Solutions
On September 20, 2010, the Safran Group announced a definitive agreement with L-1 Identity Solutions to purchase L-1’s Biometric, Secure Credentialing and Enrollment Services for $1.09 billion in cash on hand. Once the transaction is complete, Safran intends to incorporate these L-1 divisions as part of the Safran Group’s existing security business, Morpho, and solidify Safran’s presence as an industry leader for biometrics and identity management solutions. The transaction is expected to close during 2011, subject to regulatory approvals.
During this transaction, The Chertoff Group served as strategic advisors to Safran. Veritas Capital Acquires Enterprise Integration Group (EIG)
On October 13, 2010, Veritas Capital Fund IV announced its agreement to acquire the Enterprise Integration Group (EIG), a division of Lockheed Martin, for $815 million. EIG has been renamed as “The SI” and is a leading systems provider for architecture, engineering and integration services and support to the U.S. intelligence community. Veritas Capital and management intend to significantly grow opportunities for The SI as one of their portfolio companies dedicated to providing critical products and services to governments worldwide. This transaction officially closed on November 23, 2010.
During this transaction, The Chertoff Group served as a strategic advisor to Veritas Capital. UTSC Holdings Acquires Xe Services
On December 17, 2010, UTSC Holdings, LLC, an investment company formed by a consortium of private equity firms led by Forté Capital Advisors and Manhattan Growth Partners, announced its decision to acquire Xe Services. Xe Services is a leading provider of training and technical services focused on worldwide diplomatic security operations. The acquisition specifically includes Xe companies that provide security services as well as domestic and international training, including Xe’s state-of-the-art training facility in Moyock, N.C. which has provided training to more than 50,000 U.S. government personnel.
As part of this transaction, The Chertoff Group served as strategic advisors to USTC Holdings. Through its newly established portfolio company Data Technologies and Analytics, Arlington Capital Partners will help White Oak Technologies and Analytics grow and expand its critical national security services and IT solutions among clients, including the U.S. federal government and elements of the U.S. Intelligence Community.

FORMER HOMELAND SECURITY DEPUTY SECRETARY ELECTED CHAIRMAN
The Honorable Paul Schneider will Lead Foundation’s Board of Directors
BETHPAGE, NY – The Board of Directors of the Applied Science Foundation for Homeland Security announced its election today of the Honorable Paul Schneider as the Board’s next Chairman. Mr. Schneider, who is a principal at the Chertoff Group, was the immediate former Deputy Secretary at the Department of Homeland Security.
“We are very fortunate to have Paul leading our Board,” said Foundation President Frank Otto. “His vast depth of experience in the homeland security, defense and private sector arenas makes him the ideal leader to take our Foundation to the next level.” Otto said.
“I am both honored and excited to be part of this outstanding organization,” Mr. Schneider said in accepting the position. “The Foundation is a game-changer for the way homeland security end-users work with the private sector and academia and our efforts will, ultimately, make our nation safer.”
As Deputy Secretary, Mr. Schneider served as the Department’s chief operating officer with responsibility for managing DHS’ day-to-day operations. Prior to becoming the Department’s Deputy Secretary, Mr. Schneider served as Under Secretary for Management where he was responsible for, among other things, the department’s budget, appropriations, accounting and finance and acquisition and procurement.
Mr. Schneider holds a degree in nuclear engineering and is a member of the American Society of Naval Engineers (ASNE), Armed Forces Communications and Electronics Association (AFCEA), Association of Scientists and Engineers (ASE), Navy League, Association of Old Crows and the Naval Institute. He currently serves on several corporate boards and advisory groups.
